Authentication certificates and instruments

Authentication certificates

Where the act to be carried out is not required by law to take the form of a public deed, the parties may authenticate the document by confirming its content before the notary, who records that confirmation in a certificate.

The authentication certificate must contain the parties’ declaration that they have read the document or are fully aware of its content and that it expresses their wishes, together with the notary’s note of any amendments, interlineations, erasures or crossings-out in the document that are not properly noted in it.

Where the document to be authenticated has been signed at the request of a person who cannot or is unable to sign, the certificate must also state the full name, place of birth, marital status and address of that person, and record that they confirmed the request at the time of authentication.

An authenticated private document is enforceable as a title.

Notarial staff with delegated authority may sign authentication certificates.

Instruments

Any document not required by law to take the form of a public deed may be drawn up as an instrument.

The notary also has authority to receive, in the form of an instrument, a declaration of good standing and of not being insolvent — in particular for the purpose of meeting the requirements attached to freedom of establishment or the freedom to provide services under EU law.

Instruments are acts within the notary’s exclusive authority.
